Item 5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 19, 2021, the Compensation Committee of the Board of Directors of Transcat, Inc. (the “Company”), unanimously approved for Lee D. Rudow, President and Chief Executive Officer of the Company, an increase in base salary rate from $400,000 to $500,000 per annum, effective as of April 1, 2021.
