Resignation of Director

On November 15, 2024, James McCann, an independent director of the Company, tendered his resignation from the Board, effective immediately. Mr. McCann did not serve on any committees of the Board. The decision of Mr. McCann to resign did not arise or result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
