Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 26, 2023, Alejandro M. Sanchez, a member of the Board of Directors of TrustCo Bank Corp NY (the “Company”), notified the Company of his resignation from his roles as a director of both the Company and Trustco Bank, a subsidiary of the Company, effective as of April 26, 2023. On April 27, 2023, the Board of Directors of the Company withdrew its nomination of Mr. Sanchez for re-election to the Board of Directors at the 2023 Annual Meeting of Shareholders and reduced the number of directors of the Company from ten to nine, effective immediately. Mr. Sanchez’s decision to resign was not a result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
