Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 1, 2021, the Board of Directors (the “Board”) of Tupperware Brands Corporation (the “Company” or “Registrant”) elected Pamela Harbour to serve as a director effective immediately. The Board determined that Ms. Harbour satisfies the requirements of the New York Stock Exchange and the criteria of the Board to constitute an “independent” director. There were no arrangements or understandings pursuant to which Ms. Harbour was selected or any relationships or related transactions between the Company and Ms. Harbour of the type required to be disclosed under applicable Securities and Exchange Commission (“SEC”) rules. Ms. Harbour will serve as a member of the Audit & Finance Committee and the Nominating, Governance & Social Responsibility Committee of the Board. Ms. Harbour will participate in the compensation program for non-employee directors described in the Company’s Definitive Proxy Statement filed with the SEC on March 22, 2021.
