Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers.

On August 3, 2026, Unity Bancorp, Inc. (the "Company") was informed of the passing of Robert ("Bobby") H. Dallas II, a member of the Company's Board of Directors. Robert Dallas had served as a director of the Company and Unity Bank and provided valuable leadership and guidance during his tenure.

Item 7.01 Regulation FD Disclosure.

On August 7, 2026, the Company issued a press release announcing the passing of director Robert ("Bobby") H. Dallas II. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
