Item 2.02			Results of Operations and Financial Condition

On October 27, 2021, Univest Financial Corporation (the “Corporation”), parent company of Univest Bank and Trust Co. (the "Bank"), issued a press release reporting 2021 third quarter earnings. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.


Item 8.01			Other Events

On October 27, 2021, the Board of Directors of the Corporation, as permitted under Article III, Section 1.A. of the Corporation's Bylaws, voted to allow William S. Aichele to complete his current three-year term as a director, which expires at the annual meeting of shareholders in 2024. Absent such board action, Mr. Aichele would have been required to retire from the Board of Directors on September 1, 2022 after he reached 72 years of age.
