Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 30, 2023, Tom Jewell, the Senior Vice President, and Chief Financial Officer of Usio, Inc., (the “Company”) notified the Company of his intention to retire in order to spend time with his family and grandchildren, effective immediately.

With respect to Section 404(a) of Regulation S-K, there are no relationships or related transactions between Mr. Tom Jewell and the Company that are required to be reported.
