Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 20, 2023, Dr. Margaret Marshall notified Vaccitech plc (the “Company”) of her intention to retire from her position as Chief Medical Officer of the Company, effective immediately. In connection with her retirement, Dr. Marshall and the Company will enter into a consulting agreement (the “Consulting Agreement”).

Under the terms of the Consulting Agreement, certain of Dr. Marshall’s equity interests will continue to vest for a nine-month period.
