Item 8.01 Other Events.

On April 26, 2023, VBI Vaccines Inc. (the “Company”) received a letter from the Listing Qualifications Department of the Nasdaq Stock Market (“Nasdaq”) stating that for the last 10 consecutive business days, from April 12, 2023 to April 25, 2023, the closing bid price of the Company’s common shares had been at or greater than $1.00 per share. Accordingly, the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”).

As previously reported, on July 1, 2022, the Company received a letter from Nasdaq notifying the Company that its common shares failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days, and on December 29, 2022, the Company received a letter from Nasdaq notifying the Company that it had been granted an additional 180-day period, or until June 26, 2023, to regain compliance with the Minimum Bid Price Requirement.

Per the April 26, 2023 letter, the matter is now closed.
