Item 8.01. Other Events.

On June 30, 2021, being the last day of the second fiscal quarter of Venator Materials PLC (the “Company”) and the date on which the Company’s qualification as a “foreign private issuer” is measured under Rule 3b-4 of the Securities Exchange Act of 1934, as amended (the “Exchange Act), the Company determined that it qualifies as a foreign private issuer. Accordingly, effective immediately after the filing of this Form 8-K, the Company will begin reporting under the Exchange Act as a foreign private issuer, including filing annual reports on Form 20-F and furnishing quarterly reports on Form 6-K.
