Item 2.02.

Results of Operations and Financial Condition.

Scilex Holding Company (the “Company”) is providing certain preliminary unaudited financial results for the three months ended April 30, 2023, and as of April 30, 2023, based on currently available information. The Company’s independent auditor has not reviewed or audited these preliminary estimated financial results. The Company’s actual results may differ materially from these preliminary financial results, and may be outside the estimated ranges. This preliminary financial data has been prepared by and is the responsibility of the Company. The Company has not fully completed its review of these preliminary financial results for the three months ended April 30, 2023, and as of April 30, 2023.

The Company estimates that: ZTlido gross sales for April 2023 were in the range of $9.5 million to $11.0 million, compared to $5.1 million in April 2022, representing growth in the range of 86% to 116%; year-to-date April 2023 gross sales were in the range of $36.2 million to $39.3 million, compared to $23.5 million for year-to-date April 2022, representing growth in the range of 54% to 67%; net sales for April 2023 were in the range of $3.2 million to $4.0 million, compared to net sales of $1.8 million in April 2022, representing growth in the range of 78% to 122%; year-to-date April 2023 net sales were in the range of $13.0 million to $15.3 million, compared to $8.6 million for year-to-date April 2022, representing growth in the range of 51% to 78%.
