Item 8.01 Other Events.

On September 5, 2024, VOXX International Corporation issued a press release announcing its wholly owned subsidiary, VOXX Accessories Corp. (“VAC”), had successfully closed the previously announced transaction with Talisman Brands Inc., dba Established Inc. (“Established”) to sell its domestic accessories business for total consideration of approximately $25.0 million. VAC will continue to operate the domestic accessories business for Established on an ongoing basis, subject to a comprehensive overhead reimbursement agreement.

In an unrelated transaction, the Company also announced in its press release, the successful sale of its premium audio brands Jamo® and Energy® to Rayleigh Lab and Cinemaster, including inventory, for approximately $3.2 million. The press release is attached to this Form 8-K as Exhibit 99.1.
