1. Shares are held by the Thomas and Susan McCormick Trust for the benefit of the reporting person's child. The reporting person serves as co-trustee of this trust. The reporting person disclaims beneficial ownership of these shares to the extent that she does not have a pecuniary interest therein, and this report should not be deemed an admission that the reporting person is the beneficial owner of these shares for purposes of Section 16 or for any other purpose.
