Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

On August 27, 2026, Scott Metzger resigned, effective immediately, as a member of the Board of Directors (the “Board”) of VSee Health, Inc. (the “Company”) and the Compensation Committee of the Board. Mr. Metzger’s resignation is not due to any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
