Explanation of Responses:

1. The Reporting Person was granted 200,000 restricted stock units, which will be settled in shares of the Issuer's common stock. The restricted stock units vest as to 50% on March 15, 2025, with the remainder to vest thereafter in equal quarterly installments over the following one-year period.
