Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed in a Current Report on Form 8-K filed by Wells Fargo & Company (the “Company”) on April 13, 2023, Mary T. Mack ceased serving as CEO of Consumer & Small Business Banking, effective May 15, 2023. Ms. Mack is currently serving in a non-executive role supporting business transition matters and community impact work and is expected to continue in that role in 2024. Effective January 1, 2024, Ms. Mack’s annual base salary rate will be $300,000.
