Item 8.01. Other Events.

W. R. Grace & Co. ("Grace") has established Wednesday, July 7, 2021, as the date for its 2021 Annual Meeting of shareholders (the "Annual Meeting"). Grace shareholders of record as of the close of business on Wednesday, May 19, 2021, will be entitled to notice of and to vote at the Annual Meeting. The time and location of the Annual Meeting will be specified in Grace’s proxy materials for the Annual Meeting.

Because the date of the Annual Meeting is more than 30 days from the anniversary of Grace’s 2020 Annual Meeting of shareholders, in accordance with Rule 14a-5(f) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), shareholders of Grace who wish to have a proposal considered for inclusion in Grace’s proxy materials for the Annual Meeting pursuant to Rule 14a-8 must ensure that their proposal is received by the Secretary of Grace at 7500 Grace Drive, Columbia, Maryland 21044, by the close of business on May 14, 2021, which Grace has determined to be a reasonable time before it expects to begin making its proxy materials available. Rule 14a-8 proponents and the proposals they submit must also comply with the requirements of Rule 14a-8 and other applicable laws in order to be eligible for inclusion in Grace’s proxy materials for the Annual Meeting.
