HOUSTON, TX / ACCESS Newswire / October 16, 2026 / XCF Global, Inc. (NASDAQ:SAFX) today shared the following update with shareholders:

"We understand that the recent volatility and decline in our share price have been concerning and frustrating for our shareholders, and we take those concerns seriously. We value the confidence our shareholders have placed in XCF and believe it is important to communicate openly about the progress we are making and the priorities that continue to guide us.

Although short-term market movements are outside our control, we remain firmly focused on what we can control: executing our strategy, managing our resources responsibly, strengthening our business, and creating sustainable long-term value for our shareholders.

Over the past several months, we believe XCF has made meaningful progress in transitioning our Reno facility from development and commissioning to commercial operations. We reported more than $10 million in revenue for August and over $12 million in gross product sales (a non-GAAP financial measure) for September, with daily production reaching approximately 85,000 gallons by the end of September. These milestones reflect tangible progress in building our business and the dedication of our team. We believe this progress positions XCF to respond to continued growth in demand for renewable fuels, supported by the expansion of low-carbon fuel programs across a growing number of states.

Today, we also announced the closing of our business combination with Southern Energy Renewables and DevvStream, as we work toward advancing our broader strategy to build a diversified energy platform.

We recognize that operational progress must ultimately translate into sustainable profitability, greater financial strength, and long-term shareholder value. Our management team and Board remain focused on these priorities, including disciplined capital allocation, responsible management of our capital structure, and protection of our shareholders' long-term interests.

We know that shareholder confidence is earned through execution, transparency, and results. We are holding ourselves to that standard and intend to demonstrate our progress through measurable operating performance and clear, consistent communication.

On behalf of our management team and Board of Directors, I thank our shareholders for their continued engagement and support. We remain focused on building a stronger XCF and creating long-term value for those who have invested in our future. Our responsibility is not simply to grow the business, but to ensure that the value created by that growth benefits our shareholders over the long term."

Non-GAAP Measures Definitions & Reconciliations

This press release contains non-GAAP (accounting principles generally accepted in the United States of America) financial measures as defined by SEC Regulation G and indicated in the text of this release. Definitions for the non-GAAP measures are provided below. Management believes these non-GAAP measures are a useful supplemental measure of operating performance. However, these non-GAAP measures are not measures of financial performance under U.S. GAAP and should not be considered as an alternative to revenue or net income (loss) or any other measure of performance derived in accordance with U.S. GAAP.

Because not all companies use identical definitions or calculations, our presentation of these measures may not be comparable to similarly titled measures of other companies. In reliance upon Item 10(e)(1)(i)(B) of Regulation S-K, reconciliations of forward-looking GAAP and non-GAAP measures are not provided because of the unreasonable effort associated with providing such reconciliations due to the variability in the occurrence and the amounts of certain components of GAAP and non-GAAP measures. For the same reasons, we are unable to address the significance of the unavailable information, which could be material to future results.

Gross product sales is a management estimate of the dollar value of the finished renewable fuel product sales in the end-customer markets. XCF believes that this is an important and relevant metric regarding the sales value of the company's products when comparing XCF to other companies. Management defines this as the number of gallons of renewable fuel sold by the Company during a period multiplied by the average observed or derived price in the end-customer market for each product during a period, including government incentives, feedstock, processing and logistics.
