Item 2.02 Results of Operations and Financial Condition

On May 13, 2021, YETI Holdings, Inc. (the “Company”) issued a press release announcing its 2021 fiscal first quarter financial results. The press release is being furnished with this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 10, 2021, Roy J. Seiders resigned from his position as a Class I director on the Board of Directors (the “Board”) of the Company, effective as of such date. Mr. Seiders’ decision to resign as a director of the Company was not due to any disagreements with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Seiders will remain as an employee of YETI Coolers, LLC and continue to advise on product development for the Company.
