Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 17, 2023, Mark A. Wheeler resigned his position as Chief Operating Officer and Secretary effective June 9, 2023. Mr. Wheeler’s resignation was not the result of any disagreement relating to the Company’s policies, operations, or practices.
