Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At its regularly scheduled meeting on August 26, 2024, the Board of Directors (the “Board”) of The York Water Company (the “Company”) appointed Mr. Robert F. Lambert as a new independent director to the Board, effective September 1, 2024. Mr. Lambert is currently the president of York County Libraries as well as a director of Traditions Bank and Capital Blue Cross. He was appointed to a class of directors with terms expiring at the 2025 Annual Meeting of Shareholders. Mr. Lambert will also be assigned to the Board’s Audit Committee. There is no arrangement or understanding between Mr. Lambert and any other person pursuant to which he was appointed as a director of the Company. Additionally, there is no transaction between Mr. Lambert and the Company that would require disclosure under Item 404(a) of Regulation S-K.
