Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2026, George W. Hodges retired from the Board of Directors of The York Water Company pursuant to the Company's retirement policy. Mr. Hodges had been a director of the Company for over 25 years starting in June 2000. Mr. Hodges served as Chair of the Board from 2011 to 2021 and again from 2023 to 2025. On the date of his retirement, Mr. Hodges served as a member of the Executive Committee. Mr. Hodges will be designated as a Director Emeritus.
