Item 8.01			Other Events

Zillow Group, Inc. (“the Company”) fully settled its approximately $419 million outstanding principal amount of 2.75% Convertible Senior Notes due 2025 on May 15, 2025, and the Company is now debt-free, other than credit facility borrowings to provide capital for Zillow Home Loans.

At settlement, the Company delivered to noteholders aggregate cash payments totaling approximately $425 million (comprising approximately $419 million to settle outstanding principal, approximately $6 million for accrued interest, and a nominal cash payment in lieu of fractional shares) and an aggregate of 1,385 shares of the Company’s Class C capital stock.
