Explanatory Note

This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by StandardAero, Inc. (the “Company”) with the Securities and Exchange Commission on August 6, 2026 (the “Original Report”) to correct certain cash flow descriptions in the press release furnished as Exhibit 99.1 to the Original Report.

Item 2.02 Results of Operations and Financial Condition.

The press release furnished as Exhibit 99.1 to the Original Report described cash flow from operations for the three months ended June 30, 2026 as “Cash Flow used in Operations was $72.3 million” and labeled a summary table line item as “net cash used in operating activities.” Cash flow from operations for the second quarter was positive. The correct descriptions are “Cash Flow provided by Operations was $72.3 million” and “net cash provided by (used in) operating activities,” respectively.
