Explanation of Responses:

1. These shares represent restricted stock units ("RSUs") granted under the Sidus Space, Inc. 2021 Omnibus Equity Incentive Plan, with each RSU representing a right to receive one share of the Issuer's Class A Common Stock. The RSUs is subject to time-based vesting with all of the RSUs vesting on the three year anniversary of the grant date, and subject to the Reporting Person's continuous service on each vesting date.

3. Stock options vest equally on each of February 1, 2026, 2027 and 2028.
