Explanation of Responses:

1. Represents the number of shares required to be sold by the Reporting Person to cover tax withholding obligations in connection with the vesting of Restricted share units.

Remarks:

The Reporting Person ceased serving as Chief Financial Officer effective May 6, 2025. As a result, the Reporting Person is no longer subject to Section 16 in connection with his transactions in the equity securities of CNH Industrial N.V. and therefore will no longer report any such transactions on Form 4.
