2. Restricted stock units granted under the Agilysys, Inc. 2024 Equity Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of common stock of Agilysys, Inc.

3. The restricted stock units vest in one-third increments on October 31, 2025, 2026 and 2027.
