On August 3, 2026, Northern Trust Corporation issued a press release announcing the redemption, on October 1, 2026, of all of the issued and outstanding shares of its Series D Non-Cumulative Perpetual Preferred Stock (the “Series D Preferred Stock”), and the corresponding depositary shares, each representing a 1/100th interest in a share of Series D Preferred Stock.

A copy of the press release announcing the redemption is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
