Explanation of Responses:

1. Represents settlement of restricted stock units ("RSUs") through the issuance of one share of the Issuer's common stock for each vested RSU.

2. Each RSU represents a conditional right to receive one share of the Issuer's common stock. The RSUs will be settled in the Issuer's common stock or cash (or a combination thereof) at the discretion of the Issuer.

3. 22,471 RSUs were granted on June 7, 2022, which vested on the first regularly scheduled annual meeting of the stockholders of the Issuer in fiscal year 2023.
