As we approach the August 20 Special Meeting of Stockholders, we know many employees have questions about the proposed transaction with SoundHound and what it could mean for LivePerson’s future. Our priority is to ensure you have access to clear, consistent information and opportunities to learn more.

While the proposed transaction must ultimately be decided by stockholders, employees are an important part of LivePerson’s future, and we want to ensure everyone has access to the same information.

1. Stay Informed

2. If you own LivePerson stock, please vote your shares

If you are a LivePerson stockholder, please remember to vote your shares. The LivePerson Board unanimously recommends that stockholders vote “FOR” the transaction.

Because approval requires the support of a majority of all outstanding LivePerson shares, every vote is important. Shares that are not voted effectively have the same impact as a vote against the transaction, regardless of how many shares you own.

Eligible stockholders should have received proxy materials by email or mail from their broker or transfer agent. Please review those materials and submit your vote as soon as possible.
