Explanation of Responses:

1. EACH RESTRICTED STOCK UNIT ("RSU") REPRESENTS A CONTINGENT RIGHT TO RECEIVE ONE SHARE OF COMMON STOCK UPON VESTING OF THE "RSU".

2. Number of Derivative Securities Acquired on 11/3/2023, initially reported in the Form 5 filed with the SEC on 02/14/2024 as 39,341, is being revised to reflect a correction made on 03/13/2024 to the Derivative Securities Acquired, due to a scrivener's error.

3. Reporting Person agreed to cancel, extinguish and convert these RSUs into the right to receive a cash amount equal to $94,811.81.

4. Amount Beneficially owned as of 12/31/2023, initially reported in the Form 5 filed with the SEC on 02/14/2024 as 14,453, is being revised to reflect the correction made to the Restricted Stock Units ("RSU") dated 11/3/2023.
