Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 15, 2025 the Board of Directors (the “Board”) of AT&T Inc. (“AT&T”) elected Kelly J. Grier as a Director, effective September 1, 2025. The Board appointed Ms. Grier to the Corporate Development and Finance and Human Resources Committees. Ms. Grier will participate in the compensation program for non-employee Directors as described beginning on page 17 of AT&T’s 2025 Proxy Statement.
The Board has determined that Ms. Grier is independent, based on the independence standards of the New York Stock Exchange.
With the election of Ms. Grier, Scott T. Ford notified AT&T of his plan to retire as a Director, effective September 1, 2025.
