Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 18, 2024, Michael Dolan informed Mattel, Inc. (the “Company”) that he will not stand for re-election to the Company’s Board of Directors at the Company’s 2024 Annual Meeting of Stockholders (“2024 Annual Meeting”). Mr. Dolan has served as a director since 2004, and is Independent Lead Director, Chair of the Executive Committee, and a member of the Governance and Social Responsibility Committee. Mr. Dolan will continue to serve in these capacities until the 2024 Annual Meeting.
