Item 8.01. Other Events.

On July 13, 2024, T Stamp, Inc. (the “Company”) entered into a Letter of Intent with Qenta Inc., a Delaware corporation (“Qenta”) for a strategic alliance between the Company and Qenta to serve a global federated network including crypto, bank, and other financial services companies. The Letter of Intent is non-binding until the definitive transaction documents are executed.

On July 18, 2024, the Company issued a press release announcing its entry into the Letter of Intent with Qenta. A copy of that press release is being furnished herewith as Exhibit 99.1.
