Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 28, 2024, Mr. Dennis A. DeGennaro, a member of the Board of Directors (the “Board”) of TrustCo Bank Corp NY (the “Company”), notified the Company of his resignation from his roles as a director of both the Company and Trustco Bank, a subsidiary of the Company, effective as of February 28, 2024. Mr. DeGennaro’s decision to resign was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
