Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 25, 2021, Andrew Benett advised the Board of Directors (the “Board”) of Viad Corp (the “Company”) of his resignation as a member of the Board, effective immediately. Mr. Benett’s decision to resign did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

The Board appointed Mr. Benett as a Director Emeritus, effective immediately, through the Company’s 2022 Annual Meeting. Mr. Benett will receive the Company’s customary director compensation through the end of his term as Director Emeritus.
