Item 8.01 Other Events.

On September 13, 2024, Vuzix Corporation (the “Company”) completed the closing of the first tranche under the Company’s previously disclosed securities purchase agreement, dated September 3, 2024, with Quanta Computer Inc. Pursuant to this closing, the Company sold 7,692,307 shares of common stock at a purchase price of $1.30 per share. The Company received gross proceeds of $10 million upon the closing.
