Explanation of Responses:

1. Payment of tax liability by withholding securities incident to the vesting of a restricted stock unit award.

2. The number of shares represents the cash value of dividend rights that were settled in shares of common stock of Insperity, Inc. ("Common Stock") based on the fair market value of the Common Stock on the dividend payable dates. Fractional amounts have been rounded to the nearest whole number.

3. Award of restricted stock units pursuant to the Insperity, Inc. Incentive Plan, as amended and restated. Units vest in annual increments of one-third beginning on the first anniversary of the award. Each restricted stock unit represents a right to receive one share of Common Stock upon vesting.

4. These shares are owned directly by S.C.A. Legacy, Ltd., which is controlled by Arizpe Management, LLC. Mr. Arizpe, by virtue of his position as Manager of Arizpe Management, may be deemed to beneficially own these shares.
