Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Director Resignation

On June 18, 2024, Joseph G. Flanagan, a member of the Board of Directors (the “Board”) of GoHealth, Inc. (the “Company”), informed the Company of his intent to resign from the Board effective June 25, 2024. Mr. Flanagan has served as a Class II director, Chairperson of the Nominating and Corporate Governance Committee and as the lead independent director of the Board. Mr. Flanagan’s resignation is not related to any disagreement with the Company on any matter relating to its operations, policies or practices. Alexander Timm will replace Mr. Flanagan as lead independent director.
