Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Anywhere Real Estate Inc. (the “Company”) announced changes to its executive management team which are intended to accelerate the ability of the Company to further integrate and simplify the home buying and selling experience. Each of the following changes is effective December 1, 2022, unless noted otherwise:

•Susan Yannaccone continues to serve as President and CEO of Anywhere Brands LLC but has also assumed the leadership responsibilities for all of Anywhere Advisors LLC, leading both the Company’s owned brokerage and franchise businesses;

•Donald Casey continues to serve as President and CEO of Anywhere Integrated Services LLC and has further assumed responsibility for operational, agent service delivery and consumer experience aspects of the Company’s owned brokerage and title operations to the extent related to Coldwell Banker company owned brokerages;

•Katrina Helmkamp, President and Chief Executive Officer of Cartus Corporation (“Cartus”), will retire from the Company on January 3, 2023, with Mr. Casey assuming leadership of Cartus on such date; and

•M. Ryan Gorman stepped down as Chief Executive Officer of Coldwell Banker but is serving as a strategic advisor to Ms. Yannaccone through first quarter 2023.
