Explanation of Responses:

1. Chatham Asset Management, LLC (the "Reporting Person") is the investment manager to certain affiliated funds (collectively, the "Chatham Funds"). Anthony Melchiorre ("Mr. Melchiorre") is the managing member of the Reporting Person. As of the date of the latest transaction reported on this Form 4, the Chatham Funds held the aggregate 3,983,904 shares of Class A Common Stock, par value $0.0001 per share, of Fast Acquisition Corp. (the "Company") reported herein. Pursuant to Reg. Section 240.16a-1(a)(2), the Reporting Person's and Mr. Melchiorre's beneficial ownership is limited to their pecuniary interest, if any, in such securities.

2. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.35 to $11.60 per share, inclusive. The Reporting Person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

3. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.43 to $11.50 per share, inclusive. The Reporting Person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

4. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.51 to $11.66 per share, inclusive. The Reporting Person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

5. The warrants ("Warrants") will become exercisable at any time commencing on the later of (a) 30 days after the completion of the Company's initial business combination or (b) 12 months from the closing of the Company's initial public offering.

6. The Warrants will expire five years after the completion of the Company's initial business combination or earlier upon redemption or liquidation.

7. The price reported in Column 8 is a weighted average price. These Warrants were purchased in multiple transactions at prices ranging from $2.9719 to $2.9741 per Warrant, inclusive. The Reporting Person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of Warrants purchased at each separate price within the ranges set forth herein.
