Anthony Melchiorre ( Mr. Melchiorre ) is the managing member of the Reporting Person. As of the date of the latest transaction reported on this Form 4, the Chatham Funds held the aggregate 3,997,954 shares of Class A Common Stock, par value $0.0001 per share, of Fast Acquisition Corp. (the Company ) reported herein. Pursuant to Reg. Section 240.16a-1(a)(2), the Reporting Person's and Mr. Melchiorre's beneficial ownership is limited to their pecuniary interest, if any, in such securities.
2. 2. The warrants ( Warrants ) will become exercisable at any time commencing on the later of (a) 30 days after the completion of the Company's initial business combination or (b) 12 months from the closing of the Company's initial public offering.
