Explanation of Responses:

1. Shares were withheld by the Issuer upon the vesting of 1/3 of the reporting person's May 24, 2022 restricted stock units award to cover the resulting tax liability. On May 24, 2022, the reporting person was granted 45,404 restricted stock units with a vesting schedule of 3 equal annual installments beginning on May 24, 2023, the first anniversary of the grant.
